This page describes the standard terms of our client engagement model. Your individual signed agreement, provided directly by your advisor, governs your specific engagement and controls over any conflict with this page.

This Client Investment Management Agreement ("Agreement") outlines the standard relationship between African Scepter Investments ("African Scepter," "the Firm") and a client engaging our advisory and investment management services.

1. Engagement

Following an initial consultation, a client who wishes to proceed pays a non-refundable consultation fee (see Section 2) and, where applicable, subsequently allocates investment capital under terms agreed individually with their advisor.

2. Consultation Fee

The consultation fee is paid upfront, before any investment or joint venture begins, and is non-refundable. It is separate and distinct from invested principal.

The consultation fee compensates the Firm for advisory time and analysis regardless of whether the client ultimately invests. It is not applied as a credit toward invested capital, and is not refunded under any circumstances once paid.

3. Investment Capital

Any capital a client subsequently commits is a separate transaction from the consultation fee, governed by the specific terms disclosed at the time of that investment (amount, expected allocation across asset classes, and any applicable fee structure).

4. Custody and Reporting

Client assets are held with a third-party custodian, separate from the Firm's own balance sheet and never commingled with Firm funds. Clients receive portfolio visibility through the client portal, reflecting invested amount, current value, and transaction history.

5. Payments

All payments under this Agreement are arranged directly through your advisor via a secure, individually generated payment link or wire/cryptocurrency instructions. The client never selects a payment method through a public, self-service interface.

6. Withdrawal and Termination

A client may terminate this engagement and request withdrawal of their invested capital at any time by submitting a withdrawal request through the client portal. Upon approval, the Firm wires the funds directly from its own banking relationship to the client. The Firm does not operate an automated payout system; the portal is used to submit and track the request, not to specify payout method or destination.

Processing time for an approved withdrawal depends on the underlying banking/wire relationship and is communicated to the client at the time of approval.

7. Risk Acknowledgment

The client acknowledges that all investments carry risk, including potential loss of principal, and that the Firm does not guarantee any specific rate of return.

8. Confidentiality

Both parties agree to keep the terms of this engagement, and any non-public information exchanged in connection with it, confidential.

9. Governing Law and Disputes

This Agreement is governed by the laws of the Republic of Uganda. Any dispute arising under this Agreement is subject to the exclusive jurisdiction of the courts of Uganda.
